All services require signed agreements specifying pricing, payment schedule, and terms. Invoices are payable within 30 days. Late payments subject to 1.5% monthly interest. Non-payment may result in service suspension.

5. Intellectual Property

Tech Power IT Services LLC retains all intellectual property rights to our software, systems, and methodologies. Upon full payment, clients receive a non-exclusive license to use the software. Reverse engineering, decompilation, or redistribution is prohibited.

Limited Warranty: We warrant that our services will be provided professionally and with industry best practices.

Disclaimers: NO GUARANTEE against all security threats. Services provided "AS IS" for cybersecurity landscape changes. No warranty for third-party systems or 100% breach prevention. Client responsible for data backups and disaster recovery.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Total liability limited to fees paid in preceding 12 months. Not liable for indirect, consequential, or punitive damages. Not liable for data loss, business interruption, or security breaches caused by third parties.

Client agrees to indemnify Tech Power IT Services LLC from claims arising from: client's use or misuse of services, violation of these terms, negligence or willful misconduct, violation of third-party rights.

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information for 5 years post-contract. Security vulnerabilities and system configurations are strictly confidential.

We implement industry-standard security measures including encryption, access controls, and security audits. See our Privacy Policy for data handling practices. Client data is not sold to third parties.

11. Service Level Agreement

We guarantee 99.9% uptime for hosted services. 24/7 security monitoring with <1 hour incident response. Scheduled maintenance with advance notice. Credits for SLA violations as specified in service agreement.

12. Termination

Either party may terminate with 30 days written notice. Immediate termination for material breach or non-payment. Upon termination: client must cease using software, return confidential materials, outstanding fees become due.

13. Compliance and Regulations

Our services comply with: ISO 27001, SOC 2, GDPR, CCPA, HIPAA (where applicable). Client responsible for their own regulatory compliance. We provide compliance reporting tools and documentation.

14. Updates and Modifications

We regularly update software for security and performance. Critical security patches applied immediately. Major updates scheduled during maintenance windows. Clients notified of significant changes.

15. Export Compliance

Our security software is subject to U.S. export control laws. Client responsible for compliance with applicable export regulations. Use in sanctioned countries is prohibited.

16. Governing Law

These terms are governed by California law. Disputes shall be resolved in Orange County courts. Prevailing party entitled to attorney fees.
